2.1. The Client must provide all raw footage, images, audio, logos, and other assets required for the project ("Client Assets").

2.2. The Client is responsible for ensuring that all materials provided are original or legally licensed for use.

2.3. Clear instructions, style references, and deadlines must be provided to avoid delays in project delivery.

2.4. The Client shall upload all Client Assets to the location designated and confirmed by the Service Provider. Delivery of Client Assets must occur in the original, uncompressed formats unless otherwise agreed in writing. The Service Provider's project timelines, obligations, and deliverables are contingent upon the timely receipt of all required Client Assets.

2.5. Platinum Package Posting Requirement: Clients must post one video per day for 90 consecutive days. Non-compliance voids the 1-million-views guarantee.

3.1. Standard delivery times will be communicated prior to project commencement.

3.2. Delivery timelines may vary depending on project complexity, package level, block size, and client responsiveness.

3.3. Rush or expedited delivery may be available for an additional fee.

4.1. Each package includes a set number of revision rounds per video:

• • Bronze: 1 revision round
• • Silver: 2 revision rounds
• • Gold: 3 revision rounds
• • Motion: 3 revision rounds

4.2. Additional revisions beyond the included rounds will incur extra charges.

4.3. Revisions must be requested within 1 day of receiving the delivered video.

5.1. A deposit may be required before project commencement.

5.2. Payment methods accepted will be confirmed by the Service Provider.

5.3. Non-payment may result in project suspension or withholding of deliverables.

5.4. Bulk Package Payment: Payment for packages purchased in blocks of 7 or 28 videos must be made in full before work begins. Partial payment for incomplete blocks is not accepted.

5.5. Custom Package Payment: Payment terms for custom packages will be agreed upon prior to project commencement.

5.6. Platinum Package Payment: Full payment for the Platinum Package is required before work begins.

5.7. All prices quoted under this Agreement are exclusive of UAE Value Added Tax (VAT). VAT at the prevailing rate of 5% shall be added to all invoices and paid by the Client in accordance with UAE VAT regulations.

6.1. The Client retains ownership of all raw footage and materials provided.

6.2. The Service Provider retains copyright over editing work until full payment is received.

6.3. Upon full payment, the client receives a non-exclusive license to use the edited video for personal, commercial, or online use as specified.

7.1. The Service Provider is not liable for:

7.1.1 Loss or damage to raw footage provided by the client.

7.1.2 Any third-party claims related to copyright infringement of client-provided materials.

7.1.3 Delays caused by Client unavailability, late feedback, or unforeseen technical issues.

7.2. The liability of the Service Provider is limited to the total amount paid for the specific package.

7.3. Platinum Package Guarantee: The 1-million-view guarantee is only valid if the client posts one video per day for 90 consecutive days. Non-compliance or violations of platform rules void the guarantee.

8.1. Projects may be cancelled at any time, but deposits are non-refundable.

8.2. Refunds may be considered at the discretion of the Service Provider if work has not commenced.

8.3. Partial refunds may be offered if a project is terminated after editing work has begun, based on work completed.

8.4. Bulk Package Cancellation: Once a block of 7 or 28 videos has been purchased, refunds are only considered for videos that have not yet been started, at the discretion of the Service Provider.

8.5. Custom Package Cancellation: Cancellation and refund terms for custom packages will be agreed upon prior to project commencement.

8.6. Platinum Package Refund: If the Client meets all posting requirements and the 1- million-view threshold is not reached, a full refund will be issued if requested. Partial or missed postings void this guarantee.

The Client agrees that, during the term of this Agreement and for a period of twelve (12) months following its termination or completion, the Client will not, directly or indirectly, engage, contract with, hire, or otherwise solicit the services of any Video Editor assigned to them by the Service Provider, except through the Service Provider. In the event the Client breaches this clause, the Client agrees to pay the Service Provider a non-negotiable fee of thirty thousand dollars (US $30,000) as liquidated damages, acknowledging that such amount represents a reasonable estimate of the costs, losses, and damages the Service Provider would incur as a result of the breach.

These Terms and Conditions are governed by the laws of United Arab Emirates. Any disputes will be resolved under these laws.

By commissioning the video editing services, including any Platinum Package, the client agrees to these Terms and Conditions in full. Barnicoat Branding is a trading name of JHB Consulting FZCO.
